- Company Tools – Proprietary systems, templates, software, and workflows used by us.
- Final Deliverables – Completed outputs provided to the client.
- Project – The defined body of work agreed between parties.
- Services – Data labeling, annotation, consulting, or related operational tasks.
- Third-Party Materials – External tools, software, or content integrated where required.
Provision of Services
Services are performed in accordance with the milestones and scope described in the Agreement. We apply professional judgment and commercially reasonable efforts in delivering work.
Delivery timelines depend on cooperation, timely feedback, and access to required materials from the client.
Proposals and Scope Definition
Unless otherwise stated, proposals remain open for acceptance for 30 calendar days.
The scope described in the Agreement defines the work to be performed. Any activity outside that scope requires written confirmation before commencement.
Fees, Expenses, and Tax Responsibilities
Unless expressly included:
- Third-party costs are invoiced separately
- Approved operational expenses may be billed at cost
- Applicable taxes remain the responsibility of the client
Payment Conditions
Invoices are payable within five (5) days of issue unless a different arrangement is confirmed in writing.
Payments may be structured around milestones. Delayed payments may affect scheduling.
Adjustments to Scope
All scope changes must be requested in writing.
Minor adjustments that do not materially impact time or cost may be implemented without formal amendment. Substantial modifications that alter pricing, deliverables, or timelines require a revised Agreement.
Revised proposals should be confirmed within fourteen (14) working days.
Delays and Unforeseen Events
If progress is delayed due to incomplete client input, missing approvals, or unavailable materials, deadlines will be extended proportionally.
Delays arising from events outside reasonable operational control may also justify timeline adjustments.
Review and Acceptance Process
Before submission, deliverables undergo internal quality review.
Clients have seven (7) working days to review delivered work and request corrections within scope. If no response is provided within that period, the deliverables may be treated as accepted.
Client Obligations
Clients are responsible for:
- Supplying lawful and accurate materials
- Ensuring Client Content does not infringe third-party rights
- Providing timely feedback and approvals
- Conducting final verification unless otherwise agreed
Attribution and Portfolio Use
Unless restricted by written agreement, we may reference completed work in portfolios or informational materials, provided references are factual.
Confidentiality
Both parties agree to protect non-public information disclosed during the engagement.
This obligation does not apply to information that becomes publicly available without breach or is independently obtained.
Independent Status
We act as an independent contractor. These Terms do not create a partnership, employment relationship, or joint venture.
Subcontractors may be engaged where appropriate, with responsibility for service delivery remaining with us.
Limitation of Liability
To the extent permitted by applicable law, services are provided without guarantees beyond those expressly stated. Liability for any claim is limited to the amount paid for the services directly related to that claim.
Intellectual Property Rights
Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
All Company Tools, systems, methodologies, and proprietary processes remain our property unless expressly transferred in writing.
Support and Maintenance
Ongoing support services are provided only where agreed separately. Such services may incur additional charges. Warranty coverage may not apply if deliverables are modified without authorization.
Amendments to These Terms
We may update these Terms from time to time. The version published on ailabelers.com at the time of use governs. Continued use of the website or services indicates acceptance of any revisions.
